Job Description

A leading law firm serving high-growth companies, investors, and emerging businesses is seeking a Corporate Paralegal to support attorneys and clients across a wide range of corporate transactions and governance matters. This role provides hands-on experience with company formations, venture capital financings, mergers and acquisitions, securities offerings, and corporate compliance activities for private and public companies. The ideal candidate is highly organized, detail-oriented, and comfortable working in a fast-paced environment supporting multiple stakeholders and transaction deadlines. Key Responsibilities Corporate Governance & Entity Management Maintain accurate and current corporate records, including: Certificates of incorporation Bylaws Board and stockholder resolutions Stock certificates and capitalization records Annual reports and state filings Assist with corporate housekeeping and governance compliance requirements. Manage records related to shareholder meetings, consents, and voting procedures. Corporate Transactions Support company formations and entity qualifications across multiple jurisdictions. Assist attorneys with venture capital financings and other corporate transactions. Coordinate due diligence processes for mergers, acquisitions, and financing transactions. Prepare and organize closing documentation and transaction records. Maintain transaction data rooms and corporate document repositories. Securities & Equity Administration Assist with securities law compliance matters for private and public companies. Support stock incentive plan administration and related documentation. Coordinate state and federal securities filings and compliance activities as needed. Legal Documentation Draft, revise, and manage corporate legal documents, including: Corporate resolutions Amendments to governing documents Operating agreements Organizational and governance documents Review documentation for consistency, completeness, and compliance requirements. Research & Client Support Conduct legal and regulatory research related to corporate governance and securities matters. Respond to attorney and client requests regarding corporate records and filings. Collaborate with internal teams and external stakeholders to facilitate transaction execution and ongoing compliance. Qualifications Required Experience Minimum of 1 year of experience as a Corporate Paralegal or in a comparable legal support role. Experience supporting securities law matters, venture financings, corporate governance, or general corporate law preferred. Technical Skills Advanced proficiency with Microsoft Office Suite, particularly: Microsoft Word Microsoft Excel Experience managing legal documents and corporate record systems. Professional Skills Excellent written, verbal, and interpersonal communication skills. Strong attention to detail and organizational abilities. Demonstrated analytical and problem-solving capabilities. Ability to prioritize multiple assignments and manage shifting deadlines. Proven ability to work effectively in a collaborative, team-oriented environment. Ability to thrive in a fast-paced professional services setting. Education Bachelor's degree (BS/BA) or equivalent combination of education and relevant experience. Paralegal Certificate or Equivilant Work Environment Full-time position. Non-exempt role.
